ALLGEMEINE GESCHÄFTSBEDINGUNGEN


§ 1 Allgemeines


1.1
Diese Allgemeinen Geschäftsbedingungen der FLS GmbH (nachfolgend kurz: „FLS“) gelten ausschließlich für sämtliche Verträge zwischen FLS und Kunden, insbesondere Softwarelizenzkauf-, Softwaremiet- und Softwarepflegeverträge sowie Verträge über die Bereitstellung von Software as a Service. Entgegenstehende oder von diesen Allgemeinen Geschäftsbedingungen abweichende Bedingungen werden nicht anerkannt, es sei denn, FLS stimmt ausdrücklich schriftlich ihrer Geltung zu.

1.2
Diese Allgemeinen Geschäftsbedingungen gelten auch dann, wenn FLS in Kenntnis entgegenstehender oder von diesen Allgemeinen Geschäftsbedingungen abweichender Bedingungen des Kunden die vertraglich geschuldete Leistung vorbehaltlos ausführt.

Mündliche Nebenabreden wurden nicht getroffen. Von diesen Allgemeinen Geschäftsbedingungen abweichende oder sie ergänzende Abreden sind schriftlich niederzulegen. Dies gilt auch für die Änderung oder Aufhebung dieser Klausel. Elektronische Dokumente in Textform erfüllen das Schriftformerfordernis nicht.


§ 2 Vertragsabschluss


2.1
Angebote von FLS sind freibleibend.

2.2
Bestellungen des Kunden, die Angebote nach § 145 BGB darstellen, kann FLS innerhalb von vier Wochen annehmen, insbesondere auch dadurch, dass FLS die Leistung innerhalb dieser Frist ausführt.

2.3
An Angebotsunterlagen, insbesondere Softwarebeschreibungen, Lizenzmodellen oder sonstigen Unterlagen, die der Kunde von FLS erhält, behält sich FLS sämtliche Eigentums- und Urheberrechte vor. Diese Unterlagen und die in ihnen verkörperten Informationen sind geheim zu halten und dürfen Dritten ohne die ausdrückliche schriftliche Zustimmung von FLS nicht zugänglich gemacht werden. Sie sind FLS - ohne Zurückhaltung von Kopien - unverzüglich zurückzugeben, wenn ein Vertrag nicht zustande kommt.

2.4
Aufträge werden im Zweifel erst durch die Auftragsbestätigung von FLS verbindlich. Diese Auftragsbestätigung ist für die Art und den Umfang der vertraglichen Leistungspflichten maßgebend.


§ 3 Preise


3.1
Sofern sich aus der Auftragsbestätigung von FLS nichts anderes ergibt, gelten die Preise von FLS netto zuzüglich der gesetzlichen Mehrwertsteuer. Sollte eine Änderung der gesetzlichen Mehrwertsteuer zwischen Vertragsabschluss und Leistungserbringung eintreten, wird die am Tag der Auslieferung gültige Mehrwertsteuer berechnet und dem Kun-den eine sich ergebende Differenz berechnet bzw. erstattet.

3.2
Im Zeitpunkt der Auftragsbestätigung von FLS nicht vorhersehbare und von FLS nicht zu vertretende Rohstoff-, Lohn-, Energie- und/oder sonstige Kostenänderungen berechtigen FLS zu entsprechenden Preisanpassungen.

3.3
Liegen im Fall des Abschlusses eines Softwarelizenzvertrages zwischen Vertragsabschluss und Übergabe der Vertragssoftware mehr als vier Monate, ist FLS berechtigt, seine Preise an den jeweiligen Marktpreis angemessen, maximal jedoch um 5 % anzuheben.

3.4
Der Abzug von Skonto ist nur im Falle einer gesonderten schriftlichen Vereinbarung zulässig.

3.5
Etwaige Kosten für Verpackung und Frachtkosten werden gesondert in Rechnung gestellt, soweit nichts anderes vereinbart wurde. Bei Lieferungen ins Ausland trägt der Kunde etwaige Zölle und/oder Einfuhrsteuern.

3.6
Bei Teillieferungen kann jede Lieferung gesondert in Rechnung gestellt werden.


§4 Zahlungsbedingungen


4.1
Die Zahlungsbedingungen ergeben sich im Einzelnen aus der Auftragsbestätigung von FLS.

4.2
Rechnungen von FLS sind innerhalb von 14 Tagen nach Erhalt der Rechnung zur Zahlung fällig und ohne Abzug zum Ausgleich zu bringen. Bei Zahlungsverzug des Kunden ist FLS berechtigt, für die Dauer des Verzuges Verzugszinsen in Höhe von 9 Prozentpunkten über dem jeweils gültigen Basiszinssatz zu berechnen. Die Geltendmachung eines weitergehenden Schadens bleibt FLS ausdrücklich vorbehalten.

4.3
Wird nach Abschluss des Vertrages erkennbar, dass der Anspruch auf Zahlung durch mangelnde Leistungsfähigkeit, insbesondere durch fehlende Kreditwürdigkeit, des Kunden gefährdet wird, ist FLS unter Setzung einer angemessenen Frist berechtigt, für sämtliche zur Verfügung gestellte und noch nicht bezahlte Leistungen sofortige Sicherheitsleistung oder Barzahlung ohne jeden Abzug und für sämtliche noch zu erbringende Leistung Vorauszahlung zu verlangen. Kommt der Kunde den vorstehenden Verpflichtungen nicht fristgerecht nach, hat FLS das Recht, die Leistung zu verweigern und vom Vertrag zurückzutreten sowie Schadensersatz zu verlangen.

4.4
Der Kunde kann nur mit unbestrittenen, rechtskräftig festgestellten oder aber entscheidungsreifen Gegenforderungen aufrechnen. Ein Zurückbehaltungsrecht wegen Forderungen, die nicht aus demselben Vertragsverhältnis stammen, steht dem Kunden nicht zu.


§ 5 Leistung und Leistungszeit


5.1
Der von FLS geschuldete Leistungsumfang ergibt sich aus der Auftragsbestätigung. Leistungsanforderung des Kunden, die beispielsweise Gegenstand eines Lastenheftes des Kunden sind, sind nur dann verbindlich, wenn sie entweder Gegenstand der Auftragsbestätigung von FLS oder aber einer gesonderten schriftlichen Vereinbarung zwischen FLS und dem Kunden sind.

5.2
FLS ist in zumutbarem Umfang zu Teilleistungen berechtigt.

5.3
Leistungstermine oder Leistungsfristen sind grundsätzlich unverbindlich, es sei denn, sie werden im Rahmen der Auftragsbestätigung von FLS ausdrücklich als „verbindlich“ bezeichnet.

5.3.1
Ein verbindlicher Leistungstermin bzw. eine verbindliche Leistungsfrist steht unter dem Vorbehalt, dass FLS von einem etwaigen Subunternehmer, mit dem FLS aus Anlass des mit dem Kunden geschlossenen Vertrages ein entsprechendes Deckungsgeschäft geschlossen hat, richtig, vollständig und rechtzeitig selbst beliefert wird.

5.3.2
Die Leistungsfrist ist eingehalten, wenn der Vertragsgegenstand bis zum Ablauf der Frist nach Maßgabe von § 6.1 übergeben ist.

5.3.3
Die Leistungsfrist beginnt nicht zu laufen, solange der Kunde nicht die ihm obliegenden Verpflichtungen, wie z.B. hinsichtlich der kundenseitig beizubringenden technischen Daten und Unterlagen, Hard- und/oder Software, Kommunikationseinrichtungen, Datenträger und Basisprogramme sowie hinsichtlich der Leistung einer Anzahlung oder der Übergabe einer Zahlungsgarantie, ordnungsgemäß erfüllt hat.

5.4
Wird FLS durch Umstände, die erst nach Vertragsschluss erkennbar wurden und die von FLS nicht zu vertreten sind, insbesondere durch höhere Gewalt, Naturkatastrophen, Arbeitskampfmaßnahmen, behördliche Eingriffe, Versorgungsschwierigkeiten insbesondere an datenführenden Leitungen, Verkehrsstörungen, außergewöhnliche Verkehrsverhältnisse, unvorhersehbare Betriebsstörungen oder aus anderen gleichartigen Gründen, an der rechtzeitigen Erfüllung seiner Leistungspflichten gehindert, ruht die Leistungsverpflichtung für die Dauer des Hindernisses und dem Umfang ihrer Wirkung. FLS übernimmt insoweit kein Beschaffungsrisiko.

5.4.1
FLS hat den Kunden unverzüglich darüber zu unterrichten, dass und aus welchen Gründen die zeitweise Behinderung oder Unmöglichkeit der Leistung eingetreten ist.

5.4.2
FLS wird sich – soweit möglich – unverzüglich um eine Ersatzbeschaffung bemühen. Sollten sich im Falle einer Ersatzbeschaffung die Kosten von FLS erhöhen, ist FLS zu Preisanpassungen gegenüber dem Kunden berechtigt. FLS wird den Kunden über die Möglichkeit einer Ersatzbeschaffung und über etwaige Preisanpassungen vorab ebenfalls unverzüglich unterrichten.

5.5
Ist das Ruhen der Leistungsverpflichtung oder aber die Preisanpassung nach § 5.4.2 für den Kunden nicht zumutbar, ist dieser nach Ablauf einer von ihm zu setzenden angemessenen Frist berechtigt, vom Vertrag zurückzutreten. Eine Fristsetzung ist nicht erforderlich in den im Gesetz genannten Fällen (z.B. §§ 323 Abs. 2, 323 Abs. 4, 326 Abs. 5 BGB sowie § 376 HGB).

5.6
FLS hat die Nichtleistung oder verspätete Leistung aus den oben genannten Gründen nicht zu vertreten. Ein Anspruch auf Schadensersatz oder Aufwendungsersatz ist ausgeschlossen nach Maßgabe von § 10. Wurde eine Teilleistung bewirkt, kann der Kunde vom ganzen Vertrag nur zurücktreten, wenn er an der Teilleistung kein Interesse mehr hat.


§ 6 Gefahrübergang und Abnahme


6.1
Sofern nichts anderes vereinbart ist, ist bei Abschluss eines Software-Lizenzvertrages Erfüllungsort für die Übergabe der Vertragssoftware der Sitz von FLS. Im Falle des Verkaufs auf einem Datenträger geht die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung der Vertragssoftware folglich auf den Kunden über mit Aushändigung des Datenträgers an den Versandbeauftragten unabhängig davon, wer etwaige Frachtkosten trägt. Das Gleiche gilt im Falle des Verkaufs mittels Download aus dem Internet nach Mitteilung und Freischaltung der Zugangsdaten für den Downloadbereich sowie bei Mitteilung der Versandbereitschaft von FLS an den Kunden, wenn die Auslieferung aus Gründen unterbleibt, die der Kunde zu vertreten hat.

6.2
Grundsätzlich bedarf es bei den typischerweise zwischen FLS und den Kunden abgeschlossenen Verträgen keiner Abnahme. Soweit ausnahmsweise – auf Grundlage einer gesonderten Vereinbarung zwischen FLS und dem Kunden – eine Abnahme zu erfolgen hat, gilt Folgendes:

6.2.1
Der Kunde ist verpflichtet, die vertragsgemäß hergestellten Leistungen von FLS abzunehmen, sofern nicht nach der Beschaffenheit des Vertragsgegenstandes die Abnahme ausgeschlossen ist. Wegen unwesentlicher Mängel kann die Abnahme nicht verweigert werden. Der Abnahme steht es gleich, wenn der Kunde die Leistungen von FLS nicht innerhalb einer ihm von FLS bestimmten angemessenen Frist abnimmt, obwohl er dazu verpflichtet ist.

6.2.2
Finden nach der Vereinbarung der Parteien gemeinsame Abnahmeprüfungen statt um zu ermitteln, ob die Leistungen von FLS den vertraglichen Bestimmungen entspricht, teilt FLS dem Kunden schriftlich (per E-Mail, Brief oder Fax) die Abnahmebereitschaft mit. Diese Mitteilung sieht einen Termin für Abnahmeprüfungen vor, der dem Kunden genügend Zeit gibt, sich auf die Prüfungen vorzubereiten und sich bei ihnen ggf. vertreten zu lassen. Vorbehaltlich individualvertraglicher Vereinbarungen im Einzelfall trägt FLS seine eigenen für die Durchführung der Abnahmeprüfungen erforderlichen Personalkosten. Der Kunde trägt sämtliche verbleibenden Kosten für die Abnahmeprüfungen und stellt insbesondere auf seine Kosten die für die Durchführung der Abnahmeprüfungen erforderlichen Arbeitskräfte im Übrigen und/oder Hilfsmittel zur Verfügung.

6.2.3
Ist der Kunde trotz einer Mitteilung gemäß § 6.2.2 Satz 1 am Termin der Abnahmeprüfung nicht anwesend oder vertreten oder kommt er seinen Verpflichtungen gemäß § 6.2.2 Satz 4 nicht nach, gelten die Prüfungen als an dem Tag erfolgreich durchgeführt, der als Termin für die Abnahmeprüfungen in der Mitteilung von FLS angegeben ist.

Dies gilt dann nicht, wenn der Kunde der Abnahmefiktion binnen einer Frist von 14 Tagen widerspricht. Die Widerspruchsfrist beginnt an dem Tag, der gemäß der Mitteilung von FLS als Termin für die Abnahmeprüfungen vorgesehen ist. FLS weist den Kunden spätestens mit Beginn der Widerspruchsfrist auf die vorgesehene Bedeutung seines Verhaltens hin.

Die Leistungen von FLS sind abgenommen,
  • wenn die Abnahmeprüfungen erfolgreich durchgeführt worden sind oder gemäß §§ 6.2.2, 6.2.3 als erfolgreich durchgeführt gelten;
  • wenn der Kunde – ohne dass die Vertragsparteien eine gesonderte Abnahmeprüfung vereinbart hätten – die Leistungen von FLS bestimmungsgemäß in Gebrauch nimmt.

6.2.4
Die Durchführung der Abnahme wird von FLS und dem Kunden in einem gemeinsamen Abnahmeprotokoll dokumentiert, das vom Kunden erstellt wird und von beiden Parteien zu unterzeichnen ist.

6.3
Verzögert sich oder unterbleibt der Versand bzw. die Abnahme infolge von Umständen, die FLS nicht zu vertreten hat, geht die Gefahr vom Tage der Meldung der Versand- bzw. Abnahmebereitschaft auf den Kunden über.

6.4
Abweichend von Ziffer 6.2 und 6.3 gilt für die Abnahme von Softwareanpassungen folgendes:

Der Kunde ist verpflichtet, die vertragsgemäß hergestellten Leistungen von FLS abzunehmen. FLS wird den Kunden über die Abnahmebereitschaft der Anpassung in Textform (z.Bsp. per E-Mail) informieren. Der Kunde wird die notwendigen Abnahmeprüfungen unverzüglich, spätestens jedoch innerhalb von 14 Tagen nach Mitteilung der Abnahmebereitschaft durchführen. Wegen unwesentlicher Mängel kann die Abnahme nicht verweigert werden. Der Abnahme steht es gleich, wenn der Kunde die Leistungen von FLS nicht innerhalb von 14 Tagen ab Mitteilung der Abnahmebereitschaft oder einer ihm von FLS bestimmten angemessenen Frist abnimmt, obwohl er dazu verpflichtet ist.

Der Kunde wird die erfolgreiche Abnahme schriftlich auf einem von FLS bereitgestellten Abnahmeprotokoll bestätigen.


§ 7 Eigentumsvorbehalt


7.1
FLS behält sich bis zur Begleichung sämtlicher Forderungen aus der Geschäftsverbindung das Eigentum an der Vertragssoftware vor („Vorbehaltsware“).

7.2
Bei vertragswidrigem Verhalten des Kunden, insbesondere bei Zahlungsverzug, ist FLS nach Setzung einer angemessenen Frist berechtigt, vom Vertrag zurückzutreten. Ein Rücktritt von Vertrag liegt insbesondere dann vor, wenn FLS den Kunden auffordert, die Nutzung der Vorbehaltsware unverzüglich und vollständig einzustellen, sämtlich auf seinen Systemen installierten Kopien der Software unverzüglich und vollständig zu löschen sowie eine ggf. erstellte Sicherungskopie zu löschen oder an FLS auszuhändigen.


§ 8 Rügepflichten, Rechte wegen Sachmängeln


8.1
Bei Abschluss eines Software Lizenzvertrages gilt im Hinblick auf die Gewährleistung Folgendes:

8.1.1
FLS weist ausdrücklich darauf hin, dass es nach dem Stand der Technik nicht möglich ist, Software so zu entwickeln, dass sie unter allen denkbaren Einsatzbedingungen fehlerfrei funktioniert.

Vor diesem Hintergrund leistet FLS Gewähr für die vereinbarte Beschaffenheit bzw. da-für, dass die Vertragssoftware die für die vorausgesetzte oder gewöhnliche Verwendung unverzichtbaren Leistungsmerkmale erfüllt sowie dafür, dass der Kunde die Vertragssoftware ohne Verstoß gegen Rechte Dritter nutzen kann. Mängelrechte bestehen nicht bei einer unerheblichen Abweichung von der vereinbarten oder vorausgesetzten Beschaffenheit und einer unerheblichen Beeinträchtigung der Gebrauchstauglichkeit. Produktbeschreibungen gelten ohne gesonderte schriftliche Vereinbarung nicht als Garantie.

Bei Update-, Upgrade- und neuen Versionslieferungen sind die Mängelansprüche auf die Neuerungen der Update-, Upgrade- oder neuen Versionslieferungen gegenüber dem bisherigen Versionsstand beschränkt.

8.1.2
Mängelrechte des Kunden setzen voraus, dass dieser seinen nach § 377 HGB geschuldeten Untersuchungs- und Rügeobliegenheiten ordnungsgemäß nachgekommen ist. Der Kunde hat die Vertragssoftware unverzüglich nach Erhalt auf ihre Vertragsmäßigkeit hin zu untersuchen. Fehlmengen und Falschlieferungen sowie erkennbare Mängel der Vertragssoftware sind unverzüglich schriftlich unter Angabe der Beanstandung bei FLS anzuzeigen. Erst später erkennbare Mängel sind unverzüglich nach Erkennbarkeit in der beschriebenen Form zu rügen.

8.1.3
Im Falle eines Sachmangels ist FLS zunächst zur Nacherfüllung berechtigt, d.h. nach eigener Wahl zur Beseitigung des Mangels („Nachbesserung“) oder Ersatzlieferung.

Die Nacherfüllung kann auch durch Übergabe oder Installation einer neuen Programmversion oder einer Umgehung (Work around) erfolgen.

Beeinträchtigt der Mangel die Funktionalität nicht oder nur unerheblich, ist FLS unter Ausschluss weiterer Mängelansprüche berechtigt, den Mangel durch Lieferung einer neuen Version oder eines neuen Updates im Rahmen seiner Versions-, Update- und Up-grade-Planung zu beheben.

8.1.4
FLS ist berechtigt, die Gewährleistung in den Räumlichkeiten des Kunden zu erbringen. FLS genügt seiner Pflicht zur Nachbesserung auch, indem FLS mit einer automatischen Installationsroutine versehene Updates auf seiner Homepage zum Download bereitstellt und dem Kunden telefonischen Support zur Lösung etwa auftretender Installationsprobleme anbietet.

8.1.5
Beruht der Mangel auf der Fehlerhaftigkeit des Erzeugnisses eines Zulieferers und wird dieser nicht als Erfüllungsgehilfe von FLS tätig, sondern reicht FLS lediglich ein fremdes Erzeugnis an den Kunden durch, sind die Mängelansprüche des Kunden zunächst auf die Abtretung der Mängelansprüche von FLS gegen seinen Zulieferer beschränkt. Dies gilt nicht, wenn der Mangel auf einer von FLS zu vertretenden unsachgemäßen Behandlung des Erzeugnisses des Zulieferers beruht. Kann der Kunde seine Mängelansprüche gegen den Zulieferer außergerichtlich nicht geltend machen, so bleibt die subsidiäre Mängelhaftung von FLS unberührt.

8.1.6
Das Recht des Kunden, im Falle des zweimaligen Fehlschlagens der Nachbesserung oder Ersatzlieferung nach seiner Wahl den Kaufpreis zu mindern oder vom Vertrag zurück zu treten, bleibt unberührt. Ein Rücktrittsrecht besteht nicht bei unerheblichen Mängeln. Ein Selbstvornahmerecht des Kunden ist ausgeschlossen. Macht der Kunde Schadensersatz oder Ersatz vergeblicher Aufwendungen geltend, ist die Haftung von FLS begrenzt nach Maßgabe von § 10.

8.1.7
Gewährleistungsansprüche des Kunden und deckungsgleiche konkurrierende Ansprüche aus außervertraglicher Haftung verjähren in einem Jahr ab Gefahrübergang gemäß § 6. Im Falle der Lieferung von Updates, Upgrades und neuen Versionen beginnt die Frist für diese Teile jeweils mit deren Lieferung zu laufen.

Bei Schadensersatzansprüchen in den Fällen des hiesigen § 10.1 Satz 1 und § 10.2 Satz 2 verbleibt es bei der gesetzlichen Verjährungsfrist.

8.1.8
Bei arglistigem Verschweigen von Mängeln oder der Übernahme einer Beschaffenheitsgarantie bleiben weitergehende Ansprüche des Kunden unberührt.

8.1.9
FLS haftet nicht für Mängel,
  • die darauf beruhen, dass die Vertragssoftware in einer Hardware- und Softwareumgebung eingesetzt wird, die den im Lizenzschein genannten Anforderungen nicht gerecht wird;
  • die darauf beruhen, dass der Kunde Änderungen und Modifikationen an der Vertragssoftware vorgenommen hat, ohne hierzu kraft Gesetzes, des mit FLS geschlossenen Software-Lizenzvertrages oder aufgrund einer vorherigen schriftlichen Zustimmung von FLS berechtigt zu sein;
  • die auf einer schlechten Instandhaltung oder fehlerhaften Reparatur durch den Kunden beruhen;
  • zu deren Behebung Instandsetzungsmaßnahmen vorgenommen wurden, die auf Wunsch des Kunden nur behelfsmäßig erfolgten.

8.2
Bei Abschluss eines Softwarepflegevertrages gelten die Regelungen unter § 8.1 entsprechend, sofern bei der Lieferung von Updates, Upgrades und neuen Programmversionen eine erfolgsorientierte, mithin werkvertragliche Tätigkeit ggf. mit kaufvertraglichen Bezügen geschuldet ist. Soweit die Tätigkeiten von FLS tätigkeitsorientiert sind, mithin eine dienstvertragliche Tätigkeit geschuldet ist, richten sich die Ansprüche des Kunden für den Fall der Pflichtverletzung nach den gesetzlichen Regelungen, mit der Maßgabe, dass die Haftung von FLS auf Schadensersatz in Sinne des § 10 begrenzt ist.

8.3
Bei Abschluss eines Vertrages über die Bereitstellung von Software as a Service gelten grundsätzlich die gesetzlichen Regelungen zur mietrechtlichen Gewährleistung, d.h. dass insbesondere § 536b BGB (betreffend die Kenntnis des Kunden vom Mangel bei Vertragsschluss oder Annahme des Vertragsangebotes von FLS) und § 536c BGB (betreffend während der Vertragslaufzeit auftretender Mängel und betreffend die Mängelanzeige durch den Kunden) Anwendung finden. Ausgeschlossen ist die Anwendung des § 536a Abs. 1 BGB, der eine Schadensersatzpflicht von FLS regelt, soweit die Norm eine verschuldensunabhängige Haftung vorsieht. Die Haftung von FLS auf Schadensersatz ist begrenzt nach Maßgabe von § 10.


§ 9 Ansprüche bei Rechtsmängel


9.1
Die von FLS aufgrund eines geschlossenen Softwarelizenzvertrages gelieferte, überlassene bzw. zur Verfügung gestellte Vertragssoftware ist frei von Rechten Dritter, die einer vertragsgemäßen Nutzung entgegenstehen. Hiervon ausgenommen sind handelsübliche Eigentumsvorbehalte.

9.2
Stehen Dritten solche Rechte zu und machen sie diese geltend, hat FLS auf eigene Kosten alles Zumutbare zu tun, um die Vertragssoftware gegen die geltend gemachten Rechte Dritter zu verteidigen. Der Kunde wird FLS von der Geltendmachung solcher Rechte Dritter unverzüglich schriftlich unterrichten und FLS sämtliche Vollmachten erteilen und Befugnisse einräumen, die erforderlich sind, um die Vertragssoftware gegen die geltend gemachten Rechte Dritter zu verteidigen.

9.3
Soweit Rechtsmängel bestehen, ist FLS nach eigener Wahl berechtigt,
  • durch rechtmäßige Maßnahmen die Rechte Dritter, welche die vertragsgemäße Nutzung der Vertragssoftware beeinträchtigen, zu beseitigen oder
  • deren Geltendmachung zu beseitigen oder
  • die Vertragssoftware in der Weise zu verändern oder zu ersetzen, dass sie fremde Rechte Dritter nicht mehr verletzt, wenn und soweit dadurch die geschuldete Funktionalität der Vertragssoftware nicht erheblich beeinträchtigt wird, und verpflichtet, die dem Kunden entstandenen notwendigen Kosten der Rechtsverfolgung zu erstatten.

9.4
Scheitert eine Freistellung gemäß § 9.3 binnen einer vom Kunden gesetzten angemessenen Nachfrist, kann der Kunde unter den gesetzlichen Voraussetzungen nach seiner Wahl den Kaufpreis mindern oder vom Vertrag zurücktreten und/oder Schadensersatz verlangen. Insoweit gilt § 8.1.6 entsprechend.

9.5
Soweit im Rahmen eines Software-Pflegevertrages Updates, Upgrades, neue Programmversionen oder sonstige Kaufgegenstände oder Werkleistungen an den Kunden geliefert oder erbracht werden, bestimmen sich Rechtsmängelansprüche des Kunden hinsichtlich der darin enthaltenen Neuerungen, die keine bloße Fehlerbeseitigung darstellen, ebenfalls nach den §§ 9.1 - 9.4.

9.6
Soweit FLS dem Kunden im Rahmen eines Vertrages über die Bereitstellung von Software as a Service FLS-Softwareanwendungen zur Nutzung überlässt, gelten §§ 9.1 - 9.4 mit folgender Maßgabe entsprechend:

9.6.1
Der Kunde ist, sofern und soweit die Rechte Dritter ihn im Gebrauch der FLS-Softwareanwendungen beeinträchtigen, nicht zur Vergütung verpflichtet.

9.6.2
Eine nicht vorhandene Nutzbarkeit der FLS-Softwareanwendungen und/oder der FLS-Softwaredaten aus rechtlichen Gründen gilt als Nichtverfügbarkeit im Sinne des Vertrages über die Bereitstellung von Software as a Service.


§ 10 Haftung auf Schadenersatz


10.1
FLS haftet auf Schadensersatz, gleich aus welchem Rechtsgrund, nur bei Vorsatz oder grober Fahrlässigkeit seiner Organe oder Gehilfen. Der vorstehende Haftungsausschluss für einfache Fahrlässigkeit gilt nicht für die Verletzung von wesentlichen Vertragspflichten. Bei der Verletzung von wesentlichen Vertragspflichten ist die Haftung be-schränkt auf typische, vorhersehbare Schäden.

10.2
Eine Schadensersatzhaftung wegen einer von FLS übernommenen Garantie sowie wegen einer Haftung nach dem Produkthaftungsgesetz oder anderen zwingenden Normen bleibt von den vorstehenden Bestimmungen unberührt. Das gleiche gilt bei der Verursachung eines Schadens aus der Verletzung des Lebens, des Körpers oder der Gesundheit.

10.3
Eine Haftung von FLS ist ausgeschlossen
  • für Schäden, die dadurch entstehen, dass der Vertragsgegenstand nicht entsprechend den Vorgaben von FLS, wie sie insbesondere im Rahmen des Lizenzscheins niedergelegt sind, benutzt wird;
  • für Schäden, die auf eine unzureichende oder fehlende Wartung des Vertragsgegen-standes zurückzuführen sind, mit deren Durchführung der Kunde FLS nicht beauftragt hat;
  • für Schäden, die durch Teile des Vertragsgegenstandes verursacht worden sind, an denen Dritte Instandsetzungsarbeiten, Reparaturen oder sonstige Veränderungen vorgenommen haben und die nicht nachweislich auf eine Pflichtverletzung von FLS zurückzuführen sind.


§ 11 Geheimhaltung


11.1
Der Kunde hat alle im Rahmen der Vertragsbeziehung von FLS erhaltenen Kenntnisse und Informationen technischer und geschäftlicher Art, insbesondere betreffend das Lizenzmodell, die Preise und sonstigen Konditionen, die Programme und Datenbanken sowie personenbezogene Daten (nachfolgend kurz: „geheime Informationen“), Dritten gegenüber auch über die Dauer der Geschäftsbeziehung hinaus geheim zu halten, solange und soweit er nicht den Nachweis erbringen kann, dass diese geheimen Informationen zum Zeitpunkt ihrer Erlangung dem Kunden bereits bekannt oder offenkundig waren oder später ohne sein Verschulden offenkundig geworden sind oder durch den Kunden nachweisbar vollkommen unabhängig entwickelt oder von einem Dritten ohne Verstoß gegen die Geheimhaltungsverpflichtung erlangt worden sind.

11.2
Durch FLS offenbarte Unterlagen zu geheimen Informationen, insbesondere Softwarebeschreibungen und Lizenzmodell, die im Zuge der Zusammenarbeit ausgetauscht werden, sind und verbleiben im Eigentum von FLS und müssen auf Verlangen von FLS herausgegeben werden, und zwar spätestens bei Beendigung der Liefer- bzw. Leistungsbeziehung. Jede Art von Lizenz an geheimen Informationen bedarf der schriftlichen Vereinbarung.

11.3
Der Kunde darf nur solchen Beratern Zugang zu vertraulichen Informationen gewähren, die dem Berufsgeheimnis unterliegen oder denen der Kunde zuvor eine den Geheimhaltungsverpflichtungen dieses Vertrags entsprechende Verpflichtung auferlegt hat. Des Weiteren wird der Kunde nur denjenigen Mitarbeitern die vertraulichen Informationen von FLS offenlegen, die diese für die Durchführung des Vertrags kennen müssen und diese Mitarbeiter auch für die Zeit nach ihrem Ausscheiden in arbeitsrechtlich zulässigem Umfang zur Geheimhaltung verpflichten.

11.4
Ein Zurückbehaltungsrecht in Bezug auf geheime Informationen bzw. entsprechende Dokumente und Materialien steht dem Kunden nicht zu.


§ 12 Gerichtsstand, anwendbares Recht, sonstige Vereinbarungen


12.1
Für sämtliche gegenwärtigen und zukünftigen Ansprüche aus der Geschäftsverbindung ist ausschließlicher Gerichtsstand Kiel. Dieser Gerichtsstand gilt auch für Streitigkeiten über die Entstehung und Wirksamkeit des Vertragsverhältnisses.

12.2
Für das Vertragsverhältnis gilt das Recht der Bundesrepublik Deutschland unter Aus-schluss des UN-Kaufrecht (United Nations Convention on Contracts for the International Sale of Goods vom 11.04.1980).

12.3
Sind Teile der vorstehenden Geschäftsbedingungen unwirksam oder abbedungen, so bleibt deren Wirksamkeit im Übrigen unberührt. Die Vertragsparteien sind verpflichtet, unwirksame Regelungen durch solche zu ersetzen, die rechtlich wirksam sind und den unwirksamen Regelungen nach Sinn und Zweck sowie wirtschaftlichem Ergebnis soweit wie möglich entsprechen.

12.4
Im Falle von Abweichungen der deutschen von der englischen Version dieser Allgemeinen Geschäftsbedingungen gilt ausschließlich die deutsche Version. Die englische Version dient lediglich Informationszwecken.

GENERAL BUSINESS TERMS & CONDITIONS


§ 1 General


1.1
These General Terms and Conditions of FLS GmbH (hereinafter referred to as "FLS") apply exclusively to all contracts between FLS and customers, in particular to software license purchase, software rental and software maintenance contracts as well as to contracts for the provision of software as a service. Any conflicting or deviating terms and conditions will not be accepted unless FLS expressly agrees in writing.

1.2
These General Terms and Conditions shall also apply if FLS unconditionally executes the contractually owed service in the knowledge of conflicting or deviating terms and conditions of the customer.

1.3
No oral collateral agreements exist. Agreements that deviate from or supplement these General Terms and Conditions must be made in writing. This also applies to the amendment or removal of this clause. Electronic documents in text form do not meet the requirement of written form.


§ 2 Conclusion of contract


2.1
Offers from FLS are non-binding.

2.2
FLS may accept customer orders that represent offers according to Section 145 BGB (German Civil Code), within four weeks; in particular, this also occurs if FLS performs the service during this time period.

2.3
FLS reserves all proprietary rights and copyrights to offer documents, in particular to software descriptions, license models or other documents that the customer receives from FLS. These documents and the information embodied therein are to be kept confidential and may not be disclosed to third parties without the express written consent of FLS. They must be returned to FLS immediately, without retaining any copies, if a contract is not concluded.

2.4
In case of doubt, orders only become binding upon order confirmation from FLS. This order confirmation is decisive for the type and scope of the contractual performance obligations.


§ 3 Prices


3.1
Unless otherwise stated in the order confirmation by FLS, the prices of FLS are net plus VAT. Should a change of the statutory value added tax occur between contract conclusion and service provision, the value added tax valid on the day of delivery shall be calculated and the resulting difference will be charged or refunded to the customer.

3.2
Unforeseen changes in costs for raw materials, wages, energy and others price changes at the time of order confirmation beyond the control of FLS shall entitle FLS to adjust prices accordingly.

3.3
If, in the case of the conclusion of a software license agreement, there are more than four months between the conclusion of the contract and the handover of the contractual software, FLS shall be entitled to increase its prices in line with the respective market price by a reasonable amount, but by a maximum of 5%.

3.4
All discounts require separate written agreement.

3.5
Any costs for packaging and freight charges will be invoiced separately, unless otherwise agreed. For deliveries abroad, the customer shall bear any customs duties and/or import taxes.

3.6
For partial deliveries, each delivery can be invoiced separately.


§4 Payment terms


4.1
The terms of payment are detailed in the order confirmation from FLS.

4.2
Invoices issued by FLS are to be paid within 14 days after receipt without deduction. In the case of default of payment by the customer, FLS shall be entitled to charge default interest amounting to 9 percentage points above the applicable base interest rate for the duration of the default. FLS expressly reserves the right to claim further damages.

4.3
If, after conclusion of the contract, it becomes apparent that the claim for payment is jeopardized by insufficient payment capability, in particular due to a lack of creditworthiness of the customer, FLS shall, having set an appropriate deadline, be entitled to demand immediate security or cash payment, without any deduction, for all services that have been rendered but not yet paid for, and advance payments for all services that have yet to be rendered. Should the customer fail to meet the above obligations on time, FLS shall have the right to refuse performance and to withdraw from the contract and to claim damages.

4.4
The customer may only offset with counterclaims that are undisputed, legally established or ready for decision. The customer has no retention right on account of debt claims that do not emanate from the same contractual relationship.


§ 5 Performance and time of performance


5.1
The scope of performance owed by FLS results from the order confirmation. Performance requirements of the customer, which, for example, are the subject of a customer's specification sheet, are only binding if they are either the subject of an order confirmation from FLS or a separate written agreement between FLS and the customer.

5.2
FLS is entitled to partial services to a reasonable extent.

5.3
Performance dates or deadlines are non-binding unless they are expressly referred to as "binding" by FLS as part of the order confirmation.

5.3.1
A binding performance date or a binding performance deadline is subject to the condition that FLS itself is supplied correctly, completely and in a timely manner by any subcontractor with whom FLS has concluded a corresponding cover transaction due to the contract concluded with the customer.

5.3.2
The performance deadline is met if the subject matter of the contract is handed over by the expiry of the deadline in accordance with § 6.1.

5.3.3
The performance deadline does not commence as long as the customer does not duly fulfill its obligations, such as the provision of technical data and documents to be provided by the customer, hardware and/or software, communications equipment, data carrier and basic programs, as well as the provision of a deposit or the delivery of a payment guarantee.

5.4
Should FLS be prevented from fulfilling its performance obligation in due time by circumstances that did not become detectable until after conclusion of the contract, notably by force majeure, natural disasters, industrial action, official interventions, supply difficulties especially on data-carrying lines, traffic disruptions, exceptional traffic conditions, unforeseeable business interruptions or other similar reasons, the performance obligation shall be suspended for the duration of the hindrance and in the scope of its effect. FLS does not assume any procurement risk in this respect.

5.4.1
FLS must immediately inform the customer that the temporary hindrance or impossibility of providing the service has occurred, stating the reasons for this.

5.4.2
FLS will - as far as possible - immediately seek replacement. Should the costs increase for FLS in the event of a replacement, FLS shall be entitled to adjust the price vis-à-vis the customer. FLS shall inform the customer immediately about the possibility of a replacement and about any price adjustments in advance.

5.5
If the suspension of the performance obligation or the price adjustment set out in § 5.4.2 is not acceptable to the customer, after the elapsing of a reasonable period to be determined by it, the customer shall be entitled to withdraw from the contract. A deadline is not required in the situations mentioned in legislation (e.g. Sections 323 para. 2, 323 para. 4, 326 para. 5 BGB and Section 376 HGB (German Commercial Code)).

5.6
FLS is not responsible for failure to perform or delayed performance attributable to the above factors. A claim for damages or reimbursement of expenses is excluded in accordance with § 10. If a partial service has been effected, the customer can only withdraw from the entire contract if it no longer has any interest in the partial service.


§ 6 Transfer of risk and acceptance


6.1
Unless otherwise agreed, in the event of conclusion of a software license agreement, the place of fulfillment for the transfer of the contract software is the place of business of FLS. In the case of sale on a data carrier, the risk of accidental loss and accidental deterioration of the contract software is therefore transferred to the customer with transfer of the data carrier to the shipping agent, regardless of who bears any freight costs. The same applies in the case of sale by download from the Internet after notification and activation of the access data for the download area as well as by notification of the readiness for shipment of FLS to the customer, if the delivery is omitted for reasons for which the customer is responsible.

6.2
In principle, the contracts typically concluded between FLS and the customer do not require any acceptance. If, exceptionally, acceptance is necessary due to a separate agreement between FLS and the customer, the following shall apply:

6.2.1
The customer is obliged to accept FLS's services as contractually provided, unless acceptance is excluded according to the nature of the contractual item. Acceptance cannot be refused due to insignificant defects. If the customer does not accept the services of FLS within a reasonable deadline given by FLS, although it is obliged to do so, this shall be deemed acceptance.

6.2.2
If, pursuant to the parties' agreement, joint acceptance tests take place to determine whether the services provided by FLS comply with the contractual provisions, FLS shall notify the customer in writing (by e-mail, letter or fax) of readiness for acceptance. This notification shall include a date for the acceptance which shall give the customer sufficient time to prepare for and be represented at these tests. Subject to individual contractual agreements in individual cases, FLS shall bear its own personnel costs necessary for the performance of the acceptance tests. The customer shall bear all remaining costs for the acceptance tests and, specifically and at its own expense, shall make available the staff and/or resources necessary for carrying out the acceptance tests.

6.2.3
If the customer is not present or represented on the date of the acceptance test despite a notification in accordance with § 6.2.2 sentence 1 or if it fails to fulfill its obligations pursuant to § 6.2.2 sentence 4, the tests shall be deemed to have been successfully completed on the day that was specified for the acceptance tests in the notification from FLS.

This does not apply if the customer objects to the assumed acceptance within a period of 14 days. The objection period starts on the day notified by FLS as the date of the acceptance tests. FLS shall inform the client at the latest with the commencement of the objection period of the intended consequences of its actions.

The performance of FLS is accepted,
  • when the acceptance tests have been carried out successfully or are considered successfully completed in accordance with §§ 6.2.2, 6.2.3;
  • when the customer - without the contracting parties having agreed on a separate acceptance test - puts the services of FLS into use as intended.

6.2.4
The execution of the acceptance shall be documented by FLS and the customer in a joint acceptance protocol that is created by the customer and must be signed by both parties.

6.3
If the shipment or acceptance is delayed or omitted due to circumstances for which FLS is not responsible, the risk shall pass to the customer from the day of notification of readiness for shipment or acceptance.

6.4
Notwithstanding Clauses 6.2 and 6.3, the following shall apply to the acceptance of software customizations:

The customer is obliged to accept the services of FLS produced in accordance with the contract. FLS shall inform the customer in text form (e.g. by e-mail) that the customization is ready for acceptance. The customer shall carry out the necessary acceptance tests without delay, but at the latest within 14 days after notification of readiness for acceptance. Acceptance cannot be refused due to insignificant defects. Acceptance shall be deemed to have taken place if the customer does not accept the services of FLS within 14 days of notification of readiness for acceptance or within a reasonable period specified by FLS, although he is obliged to do so.

The customer shall confirm the successful acceptance in writing on an acceptance report provided by FLS.


§ 7 Retention of title


7.1
FLS retains ownership of the contractual software until all claims arising from the business relationship have been settled ("Reserved Goods").

7.2
In the event of breach of contract by the customer, in particular default in payment, FLS shall be entitled to withdraw from the contract after setting a reasonable deadline. A withdrawal from the contract exists in particular if FLS asks the customer to discontinue the use of the Reserved Goods immediately and completely, to immediately and completely delete all copies of the software installed on its systems and to delete or hand over any backup copies to FLS.


§ 8 Obligations to notify, rights due to material defects


8.1
Regarding conclusion of a software license agreement, the following applies to the warranty:

8.1.1
FLS expressly points out that it is not possible according to the state of the art to develop software in such a way that it functions flawlessly under all conceivable operating conditions.

Against this background, FLS warrants the agreed quality and/or that the contract software fulfills the essential performance features for the contractual or customary utilization, and that the customer can use the contract software without infringing on third-party rights. Defect-related rights do not exist in the case of insignificant deviation from the agreed or assumed quality and a negligible impairment of the usability. Without prior written agreement, the product specifications do not apply as a guarantee.

With regard to update, upgrade and new version deliveries, the claims for defects are limited to the developments of the update, upgrade or new version deliveries compared to the previous version.

8.1.2
The customer’s warranty claims require that it has fulfilled its inspection and complaint obligations pursuant to Section 377 HGB in a proper fashion. The customer must examine the contractual software immediately upon receipt for conformity with the contract. Short deliveries and wrong deliveries as well as recognizable defects of the contract software must be reported immediately to FLS in writing, indicating the complaint. Defects that only become apparent later must be reported immediately after they have been recognized in the manner described.

8.1.3
In the event of a material defect, FLS shall be initially entitled to supplementary performance, i.e. at its discretion to remedy the defect ("repair") or to deliver a replacement.

The supplementary performance may be provided by handing over or installing a new program version or a work around.

If the defect does not affect the functionality of the service or only does so minimally, FLS is entitled to the exclusion of other warranty claims to remedy the defect by delivering a new version or a new update as part of its version, update, and upgrade planning.

8.1.4
FLS is entitled to effect the warranty on the customer's premises. FLS complies with its obligation to repair by providing an automatic installation routine with updates on its homepage for download and by offering the customer telephone support to solve any installation problems that may arise.

8.1.5
If the defect is due to any fault in products delivered by one of the FLS's suppliers not acting as an agent of FLS, but FLS only passes on a third-party product to the customer, the customer's warranty claims are initially limited to the assignment of the warranty claims of FLS against its suppliers. This does not apply if the defect is due to improper handling of the supplier's product by FLS. If the customer cannot assert its claims for defects against the supplier out of court, the subsidiary liability of FLS for defects remains unaffected.

8.1.6
The right of the customer to reduce the purchase price or to withdraw from the contract in the event of two failures of the repair or replacement at its option remains unaffected. A right of withdrawal does not exist for insignificant defects. A right of self-remedy by the Customer shall be excluded. If the customer asserts compensation for damages or reimbursement of futile expenses, the liability of FLS shall be limited in accordance with § 10.

8.1.7
Warranty claims of the customer and congruent concurring claims arising from non-contractual liability expire one year from the transfer of risk according to § 6. The deadline for claims shall begin again with each delivery of updates, upgrades and new versions of the software.

With regard to claims for damages in the cases of § 10.1 sentence 1 and § 10.2 sentence 2, a statutory limitation period applies.

8.1.8
In the case of fraudulent concealment of defects or the assumption of a quality guarantee, further claims of the customer remain unaffected.

8.1.9
FLS will not be liable for defects
  • which are based on the use of the contract software in a hardware and software environment that does not meet the requirements specified in the license certificate;
  • which are based on the customer having made changes and modifications to the contract software without being authorized by law, the software license agreement concluded with FLS, or FLS's prior written consent;
  • which are based on poor maintenance or faulty repair by the customer;
  • for the rectification of which, repair measures were carried out that were only makeshift at the request of the customer.

8.2
When concluding a software maintenance contract, the provisions under § 8.1 apply accordingly, provided that the delivery of updates, upgrades and new program versions is due to a success-oriented and thus contractually agreed activity, possibly with purchase-contractual relations. Insofar as the activities of FLS are action-oriented, and consequently a service contract activity is due, the customer's claims in the event of breach of duty are governed by the statutory provisions, with the proviso that FLS's liability for damages within the meaning of § 10 is limited.

8.3
When concluding a contract for the provision of software as a service, the statutory provisions on rental law warranties apply, i.e. in particular Section 536b BGB (regarding the customer's knowledge of the defect upon conclusion of the contract or acceptance of the contract offer of FLS) and Section 536c BGB (concerning defects arising during the contract term and concerning the notification of defects by the customer) apply. The application of Section 536a para. 1 BGB, which regulates FLS's liability for damages, as far as the law provides for no-fault liability, is excluded. FLS's liability for damages is limited in accordance with § 10.


§ 9 Claims for defects in title


9.1
The contractual software supplied by FLS on the basis of a closed software license agreement is free from third-party rights that conflict with contractual use. Excluded from this st he retention of title customary in the industry.

9.2
If third parties have such rights and assert them, FLS shall do everything reasonable to defend the contractual software against the asserted rights of third parties. The customer shall notify FLS immediately in writing if any third party asserts a claim to such rights and grant FLS all powers and authorizations necessary to defend the software against the asserted third-party rights.

9.3
Insofar as defects of title exist, FLS may choose at its discretion,
  • to eliminate by lawful measures the rights of third parties, which impair the contractual use of the software, or
  • to eliminate their assertion or
  • to modify or replace the contractual software in such a way that it no longer infringes any third-party rights if and insofar as this does not significantly impair the contractual software's owed functionality,

9.4
If an exemption pursuant to § 9.3 fails within a reasonable grace period set by the customer, the customer may, under the statutory conditions, reduce the purchase price or rescind the contract and/or demand compensation for damages. In this respect, § 8.1.6 applies accordingly.

9.5
Insofar as updates, upgrades, new program versions or other objects of purchase or services are delivered or rendered to the customer within the framework of a software maintenance contract, the customer's claims for defects with regard to developments contained therein, and which do not merely comprise troubleshooting, are also determined by §§ 9.1- 9.4.

9.6
Insofar as FLS provides the customer with FLS software applications for use as part of a contract for the provision of software as a service, §§ 9.1-9.4 apply accordingly with the following proviso:

9.6.1
The customer is not obliged to pay if and insofar as the rights of third parties affect its use of FLS software applications.

9.6.2
The non-availability of FLS software applications and/or FLS software data for legal reasons shall be understood as unavailability within the meaning of the contract on the provision of software as a service.


§ 10 Liability for damages


10.1
FLS is liable for damages, regardless of the legal grounds for this, only in the case of intent or gross negligence on the part of its organs or vicarious agents. The above exclusion of liability for ordinary negligence does not apply to the breach of material contractual obligations. In the event of a breach of material contractual obligations, liability is limited to typical, foreseeable damages.

10.2
Liability for damages due to a warranty given by FLS as well as liability under the Product Liability Act or other imperative legal standards remains unaffected by the above provisions. The same applies to injury to life, limb or health.

10.3
Liability of FLS is excluded
  • for damages resulting from the fact that the subject matter of the contract is not used in accordance with the requirements of FLS, as laid down in particular in the license certificate;
  • for damages resulting from inadequate or missing maintenance of the subject matter of the contract, for which the customer did not commission FLS;
  • • for damage caused by parts of the subject matter of the contract on which third parties have conducted maintenance, repairs, or other modifications and which are not proven to be due to a breach of duty by FLS.


§ 11 Confidentiality


11.1
The customer must keep confidential vis-à-vis third parties all knowledge and information of a technical and business nature received in the context of the contractual relationship, in particular with regard to the license model, the prices and other conditions, the programs and databases as well as personal data (hereinafter referred to as "confidential information"), including beyond the duration of the business relationship, as long as and to the extent that it cannot provide evidence that this confidential information was already known or obvious to the customer at the time of its acquisition or later become apparent without any fault of the customer or was provably developed by the customer completely independently or obtained by a third party without breaching the obligation to confidentiality.

11.2
FLS's proprietary information, in particular software descriptions and licensing models, which are shared as part of the collaboration, are and will remain the property of FLS and must be returned upon request by FLS at the latest upon termination of the supply or service relationship. Any kind of license regarding confidential information requires a written agreement.

11.3
The customer may only grant such consultants access to confidential information who are subject to professional secrecy or on whom the customer has first imposed an obligation corresponding to the confidentiality obligations of this contract. Furthermore, the customer shall only disclose confidential information of FLS to those employees that need to know it in order to perform this agreement and shall require them to maintain confidentiality, including to the extent permitted by employment law for the time after their departure from employment.

11.4
EThe customer is not entitled to a right of retention with regard to confidential information or corresponding documents and materials.


§ 12 Jurisdiction, applicable law, other agreements


12.1
For all present and future claims arising from the business relationship, the exclusive place of jurisdiction is Kiel. This place of jurisdiction also applies to disputes concerning the origin and validity of the contractual relationship.

12.2
For the contractual relationship, the law of the Federal Republic of Germany applies to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods of April 11, 1980).

12.3
Should parts of the above Terms and Conditions be ineffective or waived, their validity shall otherwise remain unaffected. The contractual parties are obliged to replace ineffective regulations with those which are legally effective and which correspond as far as possible to the ineffective regulations regarding sense and purpose as well as economic results.

12.4
In the event of any discrepancies between the German and English versions of these General Terms and Conditions, only the German version shall apply. The English version is for information purposes only.

§ 5 Performance and time of performance


5.1
The scope of performance owed by FLS results from the order confirmation. Performance requirements of the customer, which, for example, are the subject of a customer's specification sheet, are only binding if they are either the subject of an order confirmation from FLS or a separate written agreement between FLS and the customer.

5.2
FLS is entitled to partial services to a reasonable extent.

5.3
Performance dates or deadlines are non-binding unless they are expressly referred to as "binding" by FLS as part of the order confirmation.

5.3.1
A binding performance date or a binding performance deadline is subject to the condition that FLS itself is supplied correctly, completely and in a timely manner by any subcontractor with whom FLS has concluded a corresponding cover transaction due to the contract concluded with the customer.

5.3.2
The performance deadline is met if the subject matter of the contract is handed over by the expiry of the deadline in accordance with § 6.1.

5.3.3
The performance deadline does not commence as long as the customer does not duly fulfill its obligations, such as the provision of technical data and documents to be provided by the customer, hardware and/or software, communications equipment, data carrier and basic programs, as well as the provision of a deposit or the delivery of a payment guarantee.

5.4
Should FLS be prevented from fulfilling its performance obligation in due time by circumstances that did not become detectable until after conclusion of the contract, notably by force majeure, natural disasters, industrial action, official interventions, supply difficulties especially on data-carrying lines, traffic disruptions, exceptional traffic conditions, unforeseeable business interruptions or other similar reasons, the performance obligation shall be suspended for the duration of the hindrance and in the scope of its effect. FLS does not assume any procurement risk in this respect.

5.4.1
FLS must immediately inform the customer that the temporary hindrance or impossibility of providing the service has occurred, stating the reasons for this.

5.4.2
FLS will - as far as possible - immediately seek replacement. Should the costs increase for FLS in the event of a replacement, FLS shall be entitled to adjust the price vis-à-vis the customer. FLS shall inform the customer immediately about the possibility of a replacement and about any price adjustments in advance.

5.5
If the suspension of the performance obligation or the price adjustment set out in § 5.4.2 is not acceptable to the customer, after the elapsing of a reasonable period to be determined by it, the customer shall be entitled to withdraw from the contract. A deadline is not required in the situations mentioned in legislation (e.g. Sections 323 para. 2, 323 para. 4, 326 para. 5 BGB and Section 376 HGB (German Commercial Code)).

5.6
FLS is not responsible for failure to perform or delayed performance attributable to the above factors. A claim for damages or reimbursement of expenses is excluded in accordance with § 10. If a partial service has been effected, the customer can only withdraw from the entire contract if it no longer has any interest in the partial service.


§ 6 Transfer of risk and acceptance


6.1
Unless otherwise agreed, in the event of conclusion of a software license agreement, the place of fulfillment for the transfer of the contract software is the place of business of FLS. In the case of sale on a data carrier, the risk of accidental loss and accidental deterioration of the contract software is therefore transferred to the customer with transfer of the data carrier to the shipping agent, regardless of who bears any freight costs. The same applies in the case of sale by download from the Internet after notification and activation of the access data for the download area as well as by notification of the readiness for shipment of FLS to the customer, if the delivery is omitted for reasons for which the customer is responsible.

6.2
In principle, the contracts typically concluded between FLS and the customer do not require any acceptance. If, exceptionally, acceptance is necessary due to a separate agreement between FLS and the customer, the following shall apply:

6.2.1
The customer is obliged to accept FLS's services as contractually provided, unless acceptance is excluded according to the nature of the contractual item. Acceptance cannot be refused due to insignificant defects. If the customer does not accept the services of FLS within a reasonable deadline given by FLS, although it is obliged to do so, this shall be deemed acceptance.

6.2.2
If, pursuant to the parties' agreement, joint acceptance tests take place to determine whether the services provided by FLS comply with the contractual provisions, FLS shall notify the customer in writing (by e-mail, letter or fax) of readiness for acceptance. This notification shall include a date for the acceptance which shall give the customer sufficient time to prepare for and be represented at these tests. Subject to individual contractual agreements in individual cases, FLS shall bear its own personnel costs necessary for the performance of the acceptance tests. The customer shall bear all remaining costs for the acceptance tests and, specifically and at its own expense, shall make available the staff and/or resources necessary for carrying out the acceptance tests.

6.2.3
If the customer is not present or represented on the date of the acceptance test despite a notification in accordance with § 6.2.2 sentence 1 or if it fails to fulfill its obligations pursuant to § 6.2.2 sentence 4, the tests shall be deemed to have been successfully completed on the day that was specified for the acceptance tests in the notification from FLS.

This does not apply if the customer objects to the assumed acceptance within a period of 14 days. The objection period starts on the day notified by FLS as the date of the acceptance tests. FLS shall inform the client at the latest with the commencement of the objection period of the intended consequences of its actions.

The performance of FLS is accepted,
  • when the acceptance tests have been carried out successfully or are considered successfully completed in accordance with §§ 6.2.2, 6.2.3;
  • when the customer - without the contracting parties having agreed on a separate acceptance test - puts the services of FLS into use as intended.

6.2.4
The execution of the acceptance shall be documented by FLS and the customer in a joint acceptance protocol that is created by the customer and must be signed by both parties.

6.3
If the shipment or acceptance is delayed or omitted due to circumstances for which FLS is not responsible, the risk shall pass to the customer from the day of notification of readiness for shipment or acceptance.


§ 7 Retention of title


7.1
FLS retains ownership of the contractual software until all claims arising from the business relationship have been settled ("Reserved Goods").

7.2
In the event of breach of contract by the customer, in particular default in payment, FLS shall be entitled to withdraw from the contract after setting a reasonable deadline. A withdrawal from the contract exists in particular if FLS asks the customer to discontinue the use of the Reserved Goods immediately and completely, to immediately and completely delete all copies of the software installed on its systems and to delete or hand over any backup copies to FLS.


§ 8 Obligations to notify, rights due to material defects


8.1
Regarding conclusion of a software license agreement, the following applies to the warranty:

8.1.1
FLS expressly points out that it is not possible according to the state of the art to develop software in such a way that it functions flawlessly under all conceivable operating conditions.

Against this background, FLS warrants the agreed quality and/or that the contract software fulfills the essential performance features for the contractual or customary utilization, and that the customer can use the contract software without infringing on third-party rights. Defect-related rights do not exist in the case of insignificant deviation from the agreed or assumed quality and a negligible impairment of the usability. Without prior written agreement, the product specifications do not apply as a guarantee.

With regard to update, upgrade and new version deliveries, the claims for defects are limited to the developments of the update, upgrade or new version deliveries compared to the previous version.

8.1.2
The customer’s warranty claims require that it has fulfilled its inspection and complaint obligations pursuant to Section 377 HGB in a proper fashion. The customer must examine the contractual software immediately upon receipt for conformity with the contract. Short deliveries and wrong deliveries as well as recognizable defects of the contract software must be reported immediately to FLS in writing, indicating the complaint. Defects that only become apparent later must be reported immediately after they have been recognized in the manner described.

8.1.3
In the event of a material defect, FLS shall be initially entitled to supplementary performance, i.e. at its discretion to remedy the defect ("repair") or to deliver a replacement.

The supplementary performance may be provided by handing over or installing a new program version or a work around.

If the defect does not affect the functionality of the service or only does so minimally, FLS is entitled to the exclusion of other warranty claims to remedy the defect by delivering a new version or a new update as part of its version, update, and upgrade planning.

8.1.4
FLS is entitled to effect the warranty on the customer's premises. FLS complies with its obligation to repair by providing an automatic installation routine with updates on its homepage for download and by offering the customer telephone support to solve any installation problems that may arise.

8.1.5
If the defect is due to any fault in products delivered by one of the FLS's suppliers not acting as an agent of FLS, but FLS only passes on a third-party product to the customer, the customer's warranty claims are initially limited to the assignment of the warranty claims of FLS against its suppliers. This does not apply if the defect is due to improper handling of the supplier's product by FLS. If the customer cannot assert its claims for defects against the supplier out of court, the subsidiary liability of FLS for defects remains unaffected.

8.1.6
The right of the customer to reduce the purchase price or to withdraw from the contract in the event of two failures of the repair or replacement at its option remains unaffected. A right of withdrawal does not exist for insignificant defects. A right of self-remedy by the Customer shall be excluded. If the customer asserts compensation for damages or reimbursement of futile expenses, the liability of FLS shall be limited in accordance with § 10.

8.1.7
Warranty claims of the customer and congruent concurring claims arising from non-contractual liability expire one year from the transfer of risk according to § 6. The deadline for claims shall begin again with each delivery of updates, upgrades and new versions of the software.

With regard to claims for damages in the cases of § 10.1 sentence 1 and § 10.2 sentence 2, a statutory limitation period applies.

8.1.8
In the case of fraudulent concealment of defects or the assumption of a quality guarantee, further claims of the customer remain unaffected.

8.1.9
FLS will not be liable for defects
  • which are based on the use of the contract software in a hardware and software environment that does not meet the requirements specified in the license certificate;
  • which are based on the customer having made changes and modifications to the contract software without being authorized by law, the software license agreement concluded with FLS, or FLS's prior written consent;
  • which are based on poor maintenance or faulty repair by the customer;
  • for the rectification of which, repair measures were carried out that were only makeshift at the request of the customer.

8.2
When concluding a software maintenance contract, the provisions under § 8.1 apply accordingly, provided that the delivery of updates, upgrades and new program versions is due to a success-oriented and thus contractually agreed activity, possibly with purchase-contractual relations. Insofar as the activities of FLS are action-oriented, and consequently a service contract activity is due, the customer's claims in the event of breach of duty are governed by the statutory provisions, with the proviso that FLS's liability for damages within the meaning of § 10 is limited.

8.3
When concluding a contract for the provision of software as a service, the statutory provisions on rental law warranties apply, i.e. in particular Section 536b BGB (regarding the customer's knowledge of the defect upon conclusion of the contract or acceptance of the contract offer of FLS) and Section 536c BGB (concerning defects arising during the contract term and concerning the notification of defects by the customer) apply. The application of Section 536a para. 1 BGB, which regulates FLS's liability for damages, as far as the law provides for no-fault liability, is excluded. FLS's liability for damages is limited in accordance with § 10.


§ 9 Claims for defects in title


9.1
The contractual software supplied by FLS on the basis of a closed software license agreement is free from third-party rights that conflict with contractual use. Excluded from this st he retention of title customary in the industry.

9.2
If third parties have such rights and assert them, FLS shall do everything reasonable to defend the contractual software against the asserted rights of third parties. The customer shall notify FLS immediately in writing if any third party asserts a claim to such rights and grant FLS all powers and authorizations necessary to defend the software against the asserted third-party rights.

9.3
Insofar as defects of title exist, FLS may choose at its discretion,
  • to eliminate by lawful measures the rights of third parties, which impair the contractual use of the software, or
  • to eliminate their assertion or
  • to modify or replace the contractual software in such a way that it no longer infringes any third-party rights if and insofar as this does not significantly impair the contractual software's owed functionality,

9.4
If an exemption pursuant to § 9.3 fails within a reasonable grace period set by the customer, the customer may, under the statutory conditions, reduce the purchase price or rescind the contract and/or demand compensation for damages. In this respect, § 8.1.6 applies accordingly.

9.5
Insofar as updates, upgrades, new program versions or other objects of purchase or services are delivered or rendered to the customer within the framework of a software maintenance contract, the customer's claims for defects with regard to developments contained therein, and which do not merely comprise troubleshooting, are also determined by §§ 9.1- 9.4.

9.6
Insofar as FLS provides the customer with FLS software applications for use as part of a contract for the provision of software as a service, §§ 9.1-9.4 apply accordingly with the following proviso:

9.6.1
The customer is not obliged to pay if and insofar as the rights of third parties affect its use of FLS software applications.

9.6.2
The non-availability of FLS software applications and/or FLS software data for legal reasons shall be understood as unavailability within the meaning of the contract on the provision of software as a service.


§ 10 Liability for damages


10.1
FLS is liable for damages, regardless of the legal grounds for this, only in the case of intent or gross negligence on the part of its organs or vicarious agents. The above exclusion of liability for ordinary negligence does not apply to the breach of material contractual obligations. In the event of a breach of material contractual obligations, liability is limited to typical, foreseeable damages.

10.2
Liability for damages due to a warranty given by FLS as well as liability under the Product Liability Act or other imperative legal standards remains unaffected by the above provisions. The same applies to injury to life, limb or health.

10.3
Liability of FLS is excluded
  • for damages resulting from the fact that the subject matter of the contract is not used in accordance with the requirements of FLS, as laid down in particular in the license certificate;
  • for damages resulting from inadequate or missing maintenance of the subject matter of the contract, for which the customer did not commission FLS;
  • • for damage caused by parts of the subject matter of the contract on which third parties have conducted maintenance, repairs, or other modifications and which are not proven to be due to a breach of duty by FLS.


§ 11 Confidentiality
